11th DR Evening Talk Series

Shearn Delamore & Co. recently hosted our 11th DR Evening Talk Series on Friday, 14 November 2025. Our DR Partner, Shanti Mogan delivered the talk on the topic "Best Endeavours and Good Faith Obligations: Role in Commercial Contracts" which focused on the practical and legal implications of endeavours and good faith obligations in commercial contracts. The session explored the different types of endeavours clauses which are at times incorporated as terms in commercial contracts. Shanti Mogan also discussed several reported cases in various jurisdictions to provide an illustration on how the courts have interpreted and applied these varying standards of endeavours clauses. She emphasised that where contractual obligations depend on third-party actions, an understanding on how endeavours clauses will operate is important because these matters fall outside the contracting party’s direct control when performing the contract.
