Corporate/M&A Update: Lodgement of Prescribed Information with CCM for Companies with More Than One Type of Shares Under Practice Directive 11/2026

On 5 August 2026, the Companies Commission of Malaysia (“CCM”) issued the revised Practice Directive No. 11/2026 on the lodgement of shareholders’ and share capital information (“Revised PD”), which supersedes the earlier practice directive issued on 14 July 2026. The Revised PD seeks to ensure that the information maintained with the CCM is current and accurately reflects the issued and paid-up capital of companies. 

The Revised PD applies to:

  • local companies with members holding more than one type of share; and
  • all foreign companies.

The relevant companies are required to update and lodge their shareholders’ and share capital information with CCM using the prescribed forms. The lodgement must be made over the counter at CCM’s office.  

The companies have six months, from 14 July 2026 to 14 January 2027, to complete the lodgement, subject to any extension granted by CCM. No fee will be imposed for the lodgement.
